Scott Stone has extensive experience in advising and representing clients seeking to form corporate or business entities, whether it be a business corporation, limited liability company, corporate assumption of name, a “doing business as” aka DBA application, partnership or not-for-profit corporation (including filing for 501(c)(3) tax status pursuant to the Internal Revenue Code). In conjunction with the formation of these entities, Scott will prepare all necessary documents for the normal start-up of said entities.

Also, Scott prepares, drafts and oversees the implementation of simple and complex business and corporate agreements, including, but not limited to, partnership agreements, corporate by-laws, operating agreements, shareholder agreements and employment agreements.

As part of his representation of business and corporate clients, Scott advises clients seeking to sell or purchase a business, whether it be a stock transfer or asset sale. Scott advises and represents clients through the entire process, including due diligence, contractual considerations, pre-closing issues, financing considerations, the title closing and any post closing issues. Scott prepares all documents necessary for the implementation of all transactions.

In addition to business formations and transactions, Scott also represents numerous corporate entities with respect to the day-to-day legal issues that are necessary in the normal operation of business, including, but not limited to, Mechanic’s Lien filings, litigation, consumer affairs issues, landlord tenant and leasehold issues, collections, asset purchases and sales, preparation of corporate documents, etc.
